These terms apply to the motion design services provided by Cutscene (“we”) to business clients (“you”). The signed quote takes precedence over these terms where they differ.
1. Quotes
Every project starts with a written quote setting out the scope, deliverables, formats, schedule, number of revision rounds and price (VAT not applicable, art. 293 B of the French Tax Code). A quote is valid for 30 days. The project starts once the quote is signed and the deposit is received.
2. Prices and payment
- Projects: a 50% deposit is due on order and the balance on delivery, payable within 15 days of invoice.
- Retainers: billed monthly in advance, with a three-month minimum, then month to month.
- Prices are final: VAT is not applicable under article 293 B of the French Tax Code while the studio is under the VAT franchise scheme. If that changes, quotes will state it before any work starts.
- Late payments bear interest at three times the French legal interest rate, plus a fixed €40 recovery fee (French Commercial Code, article L441-10).
3. Schedule
Turnaround times are given in business days, as an indication, and are confirmed in the quote. They run from the later of two dates: the signature of the quote (with the deposit received) and the receipt of a complete brief, meaning everything the brief requires. They include one revision round and assume that you reply to each submission (storyboard, style frames, preview) within 2 business days.
Each stage waits for your approval before the next one starts. Any additional review time, any missing or late material, any change to a stage you have already approved and any additional revision round moves the delivery date by the same amount. We will make every reasonable effort to meet these turnaround times, as an obligation of means (best efforts), not of result. A delivery date is firm only if the quote expressly says so.
4. Revisions
The quote states how many revision rounds are included. A round is one consolidated list of comments on a preview. Changes to a script or storyboard you have already approved are new work and are quoted separately. Extra rounds cost €90 each.
5. Delivery and acceptance
We deliver the final files by download link, in the formats listed in the quote. The delivery is considered accepted if you raise no specific objection within 7 days.
6. Ownership of the work
- Once the final invoice is paid in full, we assign to you the rights to reproduce, show and adapt the final videos, in every medium, worldwide, for the full legal term of protection. Until then, previews may be used only for review.
- Our tools, code libraries and reusable motion components stay ours. You receive a license to use them as part of the delivered videos.
- Music, fonts and any other third-party assets are licensed under their own terms, and we pass the license on to you.
- You confirm that you have the rights to what you give us (logos, product interface, trademarks, footage).
7. Portfolio and confidentiality
We may show the finished work in our portfolio and on social media after your public launch, unless an NDA or a written request from you says otherwise. We keep unannounced product information confidential.
8. Cancellation
If you cancel a project after it has started, the deposit is kept, and work done beyond the deposit is billed pro rata.
9. Liability
Our total liability for a project is limited to the amount you paid for that project. We are not liable for indirect losses such as lost revenue. Nothing in these terms limits liability that cannot be limited by law.
10. Law and disputes
These terms are governed by French law. We will always try to resolve a disagreement amicably first; failing that, the courts with jurisdiction over our registered office will decide.
